Terms of Service
Effective: May 8, 2026
These Terms of Service (the "Terms") are a contract between you and Meridian Learn Inc.("Meridian," "we," "us"), a Delaware C corporation. By creating an account or using meridianlearn.ai (the "Service"), you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 13 years old to use the Service. If you are between 13 and 17, you may only use the Service if a parent or legal guardian has reviewed these Terms and agreed to them on your behalf. By using the Service you confirm you can form a binding contract with Meridian.
2. The Service
Meridian is an AI-powered learning platform. It generates personalized courses on topics you choose, provides an AI tutor (text and optional voice), uses adaptive quizzes and mastery gates to verify your understanding, and lets you upload study materials so the AI can build courses around them. We may change, add, or remove features at any time.
3. Your account
You are responsible for the activity that happens under your account, for keeping your sign-in credentials secure, and for the accuracy of the information you give us. You may have only one account. Tell us at support@meridianlearn.ai right away if you suspect unauthorized access.
4. Acceptable use
You agree that you will not:
- Use the Service to do anything illegal or to violate someone else's rights.
- Upload content you do not have the right to upload, or content that infringes intellectual-property or privacy rights.
- Attempt to reverse-engineer, decompile, or extract the underlying models, prompts, or weights powering the Service.
- Scrape the Service, abuse rate limits, or attempt to bypass usage caps tied to your subscription tier.
- Use the Service to generate content that is illegal, harmful, harassing, or otherwise prohibited by our AI providers' usage policies.
- Probe, scan, or test the vulnerability of the Service without our written permission.
5. Your content
You keep all rights to the files you upload and the content you create on the Service (your "Content"). You grant Meridian a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display your Content, and to share it with the sub-processors named in our Privacy Policy, solely to operate and improve the Service for you. We do not use your private Content to train third-party models, and we do not authorize our AI providers to do so either.
You are responsible for your Content. You represent that you have the rights necessary to grant the license above.
6. AI-generated output
The Service uses large language models to generate lessons, explanations, quizzes, grading, and tutor responses. AI output can be incomplete, inaccurate, or out of date, and different users can get different answers to the same question. You are responsible for independently verifying anything important. The Service is an educational tool and is not a substitute for professional advice (medical, legal, financial, or otherwise).
7. Subscriptions, billing, and refunds
Meridian offers the following plans:
- Free — $0. Limited features, including the starter course only.
- Pro — $17 per month, or $144 per year (about $12 per month).
- Max — $50 per month, or $504 per year (about $42 per month).
Paid plans are billed by Stripe and renew automatically at the end of each billing period until you cancel. By subscribing, you authorize Meridian and Stripe to charge your payment method on each renewal date.
No refunds. All payments are non-refundable, including for partial billing periods. You can cancel at any time from inside the app. Cancellation stops future renewals; the period you have already paid for runs to its end. After cancellation you keep read-only access to your knowledge map and previously-created courses.
We may change prices, plan features, or usage limits from time to time. If we change the price of your subscription, we will give you advance notice and let you cancel before the change takes effect.
8. Termination
You can delete your account at any time from inside the app. We may suspend or terminate your account if you violate these Terms, if your use creates a risk to Meridian or other users, or if we are required to do so by law. If we suspend or terminate your account in good faith for a violation of these Terms, you are not entitled to a refund.
9. Intellectual property
Meridian, the Meridian wordmark and logo, and all software, copy, designs, and trademarks that make up the Service are owned by Meridian Learn Inc. or its licensors. We grant you a limited, revocable, non-transferable license to use the Service in accordance with these Terms. You may not copy, modify, distribute, sell, or lease any part of the Service.
10. DMCA / copyright
If you believe content available through the Service infringes your copyright, send a notice to support@meridianlearn.ai with the information required by 17 U.S.C. § 512(c)(3). We will respond as required by the Digital Millennium Copyright Act and may remove the allegedly infringing content and terminate repeat infringers.
11. Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, and non-infringement. Meridian does not warrant that the Service will be uninterrupted, error-free, or that AI output will be accurate.
12. Limitation of liability
To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, or lost data. Meridian's total liability arising out of or relating to the Service or these Terms is limited to the greater of (a) the amounts you paid Meridian in the twelve months before the event giving rise to the claim, or (b) one hundred U.S. dollars ($100). Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above may not apply to you.
13. Indemnification
You agree to indemnify and hold harmless Meridian Learn Inc., its officers, employees, and agents from any third-party claim arising out of (a) your Content, (b) your use of the Service, or (c) your violation of these Terms.
14. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules.
Informal resolution. Before filing any claim, you agree to email support@meridianlearn.ai describing the dispute, and to give us 30 days to try to resolve it.
Binding arbitration; class-action waiver. If we cannot resolve a dispute informally, you and Meridian agree to resolve it through binding individual arbitration administered under the rules of a recognized U.S. arbitration provider, rather than in court. You and Meridian each waive the right to a jury trial and the right to participate in a class action or representative proceeding. Either party may bring a qualifying claim in small-claims court instead of arbitration. Any court action permitted by these Terms must be brought in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.
15. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the Effective date above. If we make a material change, we will notify you by email or through the Service before the change takes effect. Your continued use of the Service after the effective date of the updated Terms means you accept them.
16. Miscellaneous
These Terms, together with our Privacy Policy, are the entire agreement between you and Meridian regarding the Service. If any provision is found unenforceable, the rest will remain in effect. Our failure to enforce any right is not a waiver of that right. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
